Introduction
Welcome to DaleAI, a mobile application developed by DaleAI, Inc. (“DaleAI”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access and use of the DaleAI app and any related services, features, or content (collectively, the “Service”).
By downloading, accessing, or using the DaleAI Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree to these Terms, you are not authorized to use the Service.
Use of the Service
DaleAI grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal, non-commercial use, subject to the terms and conditions of this agreement.
You agree to use the Service in compliance with all applicable laws, rules, and regulations. You will not:
- Use the Service for any unlawful or fraudulent purpose.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to the Service or its related systems or networks.
- Modify, copy, distribute, transmit, display, perform, reproduce, or create derivative works from the Service.
- Use any robot, spider, scraper, or other automated means to access the Service without our permission.
User Content
Any content, information, or materials you upload, submit, post, or display on or through the Service (“User Content”) is your sole responsibility. By providing User Content, you grant DaleAI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and improving the Service.
You represent and warrant that you have all the rights, power, and authority necessary to grant the rights to your User Content as described in these Terms.
Intellectual Property
The DaleAI Service, including its design, structure, graphics, and all other elements, is owned by DaleAI and is protected by copyright, trademark, and other intellectual property laws. You may not modify, copy, distribute, transmit, display, reproduce, or create derivative works from the Service.
Termination
DaleAI reserves the right to suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. You may also delete your DaleAI account at any time.
Upon termination, your right to use the Service will immediately cease. DaleAI is not liable to you or any third party for any termination of your access to the Service.
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DALEAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
Limitation of Liability
IN NO EVENT SHALL DALEAI BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF PROGRAMS OR DATA.
DALEAI’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED $100.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any choice or conflict of law provision or rule.
Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
Changes to the Terms
DaleAI reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the DaleAI app or website, and the “Effective Date” at the top of the Terms will be revised.
Your continued use of the Service after the Effective Date of the updated Terms constitutes your acceptance of the changes.
